Zimbabwe: comments sought on the Companies and Other Business Entities Bill

The Parliament of Zimbabwe is seeking comments on the Companies and Other Business Entities Bill, which contains Zimbabwe's new company law framework and which has recently been gazetted: see here. A copy of the Bill is available here (pdf).

Zimbabwe: company law reform - the Companies and Other Business Entities Bill, 2018

The Companies and Other Business Entities Bill, which will set out Zimbabwe's new company law framework, has been published.  A copy of the Bill is not yet available on the Parliament website (it ought to appear here in due course). A copy of the memorandum accompanying the Bill has, however, been published on the Veritas website - see here (pdf) - and from this it is possible to get a good sense of the changes being proposed. With regard to directors' duties, it would seem that Zimbabwe will be adopting a provision very similar to the duty to promote the success of the company found in section 172 of the UK Companies Act 2006 (see what is said about clause 186 in the memorandum).

Zimbabwe: public comments invited on the Public Entities Corporate Governance Bill

The Public Entities Corporate Governance Bill was gazetted by the Clerk of Parliament on 21 July and public comments are now invited. A copy of the invitation, and draft Bill, are available here. The first schedule of the Bill reproduces the National Code on Corporate Governance (known as Zimcode).

Zimbabwe: public sector governance and a new Companies Act

The fourth session of the eighth Parliament began last week. Amongst the legislation promised by the President, in his opening speech, was a new Companies Act and an Act on the governance of public sector entities: see here (pdf).
