Norway: NUES consults on revisions to the Norwegian Corporate Governance Code

The Norwegian Corporate Governance Board (NUES) is currently consulting on proposed changes to the Norwegian Corporate Governance Code for Listed Companies. A copy of the consultation paper, in English, is available here (pdf). In addition to the proposed changes, which include those relating to the composition of the nomination committee, views are sought on any aspect of the Code.

Norway: NUES publishes new edition of the Norwegian Corporate Governance Code

Following a consultation earlier this year, the Norwegian Corporate Governance Board (NUES) has now published an updated edition of the Norwegian Corporate Governance Code for Listed Companies: see here (in English, pdf). A copy of the new Code, with the changes highlighted, is available here (in English, pdf).

The OECD has published a report in which it reviews the corporate governance framework and risk management practices in 27 jurisdictions: see here (pdf). The report focuses, in particular, on Norway, Singapore and Switzerland.

Norway: Corporate Governance Board begins Code consultation

The Corporate Governance Board has published a consultation paper in which it seeks views on proposed changes to the Norwegian Code of Practice for Corporate Governance and invites any other comments concerning the Code: see here (pdf, Norwegian) or here (pdf, English). One of the proposed changes is intended to improve the quality of 'comply or explain' reporting by companies.

UK: women on boards - Prime Minister has not ruled out quotas

The UK's Prime Minister made comments yesterday at the Northern Future Forum in Stockholm regarding board diversity and said that whilst he did not favour quotas the Government had not ruled out their introduction: see here and here. The countries taking part in the meeting - Denmark, Estonia, Finland, Iceland, Latvia, Lithuania, Norway, Sweden and the UK - have contributed to a document which provides some interesting information on board diversity and measures that have been taken: see here (pdf).

Deloitte publishes second edition of 'women in the boardroom'

Deloitte has published the second edition of its report Women in the boardroom - a global perspective: see here (pdf). The report provides a summary of measures that have been taken (or which are being taken) with regard to the gender diversity of boards in Australia, Belgium, Canada, China, France, Germany, Hong Kong, India, Italy, Malaysia, the Netherlands, New Zealand, Norway, Singapore, Spain, the United Kingdom and the United States of America.

Norway: changes made to corporate governance code

The Norwegian Corporate Governance Board has made several changes to its Corporate Governance Code: see here (pdf). One of the changes will require companies not complying with the code's recommendations to provide more information: in addition to providing an explanation for non-compliance, information regarding the alternative approach taken must be given.

Deloitte report published - Women in the Boardroom: a Global Perspective

Deloitte has published a report titled Women in the Boardroom - a Global Perspective, available here (pdf). The report provides a summary of measures that have been taken (or which are being taken) with regard to the gender diversity of boards in Australia, Belgium, Canada, France, Germany, Italy, the Netherlands, New Zealand, Norway, Spain, the United Kingdom and the United States of America.

The report provides a useful starting point for further research although it contains omissions. For example, with regard to the UK, there is no mention of the work being done by Lord Davies (recommendations are expected this month) and, in respect of Belgium, there is no mention of the recent proposals put forward by the Belgium Corporate Governance Committee with regard to board diversity. It is also worth noting, with regard to Canada, that a Board of Directors Gender Parity Bill (S-206) is currently before Parliament. However, the Senate Committee on Banking, Trade and Commerce recommended that the Bill should not proceed further in the Senate: see here. The Committee's report was received in Senate on 3 February and was due to be considered yesterday (the record of debate, Hansard, will in due course be available here).

Norway: proposed amendments and additions to the Code of Practice

The Norwegian Corporate Governance Board, which is responsible for the Norwegian Code of Practice for Corporate Governance, has published a consultation paper setting out proposed amendments and additions to the Code: see here (pdf). Amongst the proposed additions is one requiring the board to define the company's basic corporate values and to formulate ethical guidelines and guidelines for corporate social responsibility in accordance with these values.

France: 40% (minimum) of board directors to be women - Bill before Parliament

The Times newspaper reports that the French Parliament has begun to consider a Bill that will require at least 40% of the directorships at France's largest companies to be held by women. This follows the example set by Norway and, more recently, Spain (about which see here (pdf)).

Norway: Code of Practice for Corporate Governance - revised edition published

The codes directory maintained by the European Corporate Governance Institute has been updated to include a copy of the Norwegian Code of Practice for Corporate Governance issued in October by the Norwegian Corporate Governance Board. The new edition is a revised version of the Code issued in December 2007; a summary of the changes is available here.

Norway: company boards and gender diversity

Today's Financial Times newspaper contains an extended report exploring the consequences of greater female representation on company boards in Norway following the introduction of a law designed to promote greater gender diversity. The report notes:

Norway has gone the furthest in pushing female participation in the boardroom but other countries are thinking of following its lead. Sweden proposed a similar law in 2006 but a change in government meant it was scrapped. Nonetheless, says Grace Reksten Skaugen, a Norwegian who is a director at Investor, the Swedish financial group, the mere threat of the law was enough to increase the number of women on Swedish boards. ... In legislative terms, the next most advanced country is Spain. Long perceived as a macho society, Spain introduced an equality law in 2007. It recommends that women have an 'equal representation' to men – defined as 40 per cent to men’s 60 per cent – on boards by 2015. There is no compulsion – unlike in Norway where there was a theoretical threat to close down non-compliant companies – but a suggestion that if a company wants government work it should comply".

UK: gender diversity on FTSE100 boards

The UK's Equality and Human Rights Commission has published a survey of the proportion of women in positions of power and influence, including FTSE100 companies.
