
Judgment was delivered by
ICC Judge Mullen yesterday in
Pantiles Investments Ltd & Anor v Winckler (Rev 1) [2019] EWHC 1298 (Ch). The case concerned claims brought by a liquidator against a company's former director under
section 212 ("Summary remedy against delinquent directors, liquidators, etc.") and
section 213 ("Fraudulent trading") of the
Insolvency Act 1986 (and this involved consideration of the
general duties of directors under the
Companies Act 2006).
The judgment is noteworthy in providing examples of the breach of
section 172 ("Duty to promote the success of company") of the
2006 Act as well as fraudulent trading. The trial judge also recognised, in the context of the fraudulent trading claim under
section 213, that the test for dishonesty was as set out by the
Supreme Court in
Ivey v Genting Casinos (UK) Ltd [2017] UKSC 67.
