The Companies Act 2006 (Substitution of Section 1201) Regulations 2009 have been published on OPSI: see here (html) or here (pdf). The Regulations, which come into force on 28 December, substitute in the Companies Act (2006) a new Section 1201. This is being done because, in the opinion of the Department for Business, Innovation and Skills, the section as currently enacted may infringe the EC Services Directive (2006/123/EC) by indirectly discriminating against persons established in other Member States who do not have a place of business in the UK.
